Senior Counsel The candidate will advise management and represents the company, in coordination with the General Counsel, on a broad array of matters of significant legal importance, primarily with respect to firm's federal government business. Will provide frontline legal support to all levels of our federal business unit. Administratively intensive and requires experience with, and knowledge of, federal government contracting, including FAR/DFARS. Provide legal and ethics/business practice advice to management and non-managerial personnel across the organization, with particular emphasis on supporting the contracts, procurement and delivery teams on federal government construction projects. Cradle-to-grave interpretation of contract requirements. Negotiate and draft contracts and other documents with third parties and their attorneys. Lead or support avoidance and resolution of complex commercial disputes; often working directly with the other partyâ€™s attorney. Draft legal memoranda, correspondence, non-disclosure agreements, change orders and amendments, delay notices, claim-related documents, articles of procurement (RFP/RFQ requests) and responses thereto, Freedom of Information Act (FOIA) requests, and other formal documents and filings as required. Research legal questions as necessary to support the General Counsel and other VPâ€™s, including related to FAR/DFARS, state-specific statutory requirements, common law and federal statutes/regulations to support business decision making. Stay apprised of statutory and regulatory developments affecting business. Assist Human Resources in employment/personnel legal matters. Lead initiatives to improve legal, contract and procurement departmental practices, processes and systems. Develop and provide training and presentations on legal and compliance issues affecting business. Develop clear, concise, and consistent provisions for contracts and other legal documents. Formulate logical approaches and recommendations to address complex issues. Exercise good judgment and tact. Work efficiently under pressure. Performs additional duties deemed necessary by senior management.
Qualification and Experience
The candidate should have Juris Doctor degree and admitted to practice law in a state (Minnesota preferred). Must have 5+ years of relevant experience with federal government contracting, including familiarity with FAR/DFARS. Prior experience in similar settings where sound legal and business acumen were required. Experience with ESPC and UESC contracts is preferred. Experience in construction contracting is preferred. Excellent communication skills (verbal and written) with the ability to develop and communicate clear, concise, and consistent provisions for contracts and other legal documents is required. Proficiency with Microsoft Office programs is required.
