Corporate Counsel
Duties: Provide pragmatic, business-oriented advice to key department stakeholders in a fast-paced, dynamic environment. Utilize keen analytical skills to develop creative solutions to problems. Communicative effectively, both in writing and orally, to convey legal issues and possible outcomes. Draft, negotiate and finalize a wide variety of contracts, including non-disclosure agreements, vendor agreements, clinical trial agreements and commercial sales agreements. Assist with healthcare and corporate compliance issues as they arise.

Qualification and Experience

Qualifications: JD Degree and membership with the California Bar, or at least one other state’s Bar and the ability to obtain registered in-house counsel status. 4-8 years of relevant legal experience required. Excellent communication skills and strong client management skills. Experience drafting and negotiating definitive deal documents for mergers and acquisitions, joint ventures and licensing transactions. Ability to process a high volume of work and meet deadlines in a fast-paced environment. Strong contract drafting and negotiation experience. Outstanding interpersonal skills with a “can-do” attitude. Proactive, strategic and thoughtful problem-solving ability. Experience working in-house at a medical device or pharmaceutical company, or other company in a highly-regulated industry.
