Partner-Corporate Services
Duties: Engages in pre-transaction planning, due diligence, deal and information management, preparation and negotiation of purchase and other transaction agreements, closings, post-closing matters, and business integration; Leads transactions involving equity and assets, mergers, venture capital, private equity and bank financings, joint ventures, and corporate consolidations, reorganizations and restructurings; Advises on key corporate governance, strategic and fiduciary duty issues; Manages communications with the client, client advisors and opposing counsel from the time of initial contact through closing; and Implements strong project management and team building skills to better ensure the accomplishment of the client’s objectives in a manner that is time and cost efficient.

Qualification and Experience

Requirements: JD Degree. 8+ years’ relevant experience in M&A; substantial experience in drafting, reviewing and negotiating sophisticated M&A documents. Knowledge of market terms for the above corporate transactions in a broad cross-section of industries preferred.
