Assistant General Counsel
The candidate will provide responsibilities include: Draft, review and negotiate agreements in a variety of areas, including, but not limited to, construction, architectural design, exhibit fabrication, consulting, exhibit rental (incoming and outgoing), SaaS and other IT related projects, on-site filming, corporate sponsorship, donation/pledges, marketing trade, image and footage licensing (incoming and outgoing), event rental, federal and foundation grants, non-disclosure agreements, and contest rules and conditions. Provide legal support to departments throughout the Museum, including by assisting in structuring initiatives and projects, reviewing and drafting policies and agreements, identifying and help mitigate intellectual property, tax, safety (guest, staff and building) and other legal risks, and ensuring compliance with internal policies and procedures. Provide legal support on copyright (both from the perspective of copyright owner and user of copyrighted works such as fair use), trademarks and other intellectual property matters, in particular within the areas of marketing and advertising. Develop a thorough understanding of Museum operations and use this knowledge in providing guidance and counsel to internal clients. Establish and develop strong relationships with various departments within the organization. Assist in designing, drafting, implementing, and monitoring compliance with various Museum policies, including those relating to procurement, accessibility, conflicts of interest, employee and human resources matter, claims reporting, as well as compliance with applicable laws, regulations, and the ethical guidelines of the museum community. Advise on matters relating to conflicts of interest and governance. Support the General Counsel in the application of a broad range of local, state and federal laws and regulations including but not limited to tax, intellectual property, employment, benefits and cultural property rights. Provide legal support for litigation, disputes and audit and assist in identifying legal risks to the Museum and recommending appropriate remedies.

Qualification and Experience

The candidate must have Juris Doctorate (J. D.) degree from an accredited institution. Must be admitted to practice law in State of Illinois. Must have 4-8+ years’ of transactional legal experience, preferably in an in-house environment (nonprofit, government or corporate) and/or extensively to non-profit organizations in a law firm environment. Must have excellent contract drafting and negotiating skills with ability to distinguish and characterize for clients material versus non-material business and legal issues. Must have strong communication (written and verbal) and interpersonal skills; able to effectively interact with all internal clients and external business partners and provide clients with legal and business advice in clear, concise manner. Must be detail-oriented, diligent, organized, and efficient with strong follow-up and follow-through skills. Must be comfortable in fast paced environment that requires rapid turnaround on various high priority needs; able to prioritize and re-prioritize based on changing business needs. Must be willing and able to become content expert in new areas of law; self-motivated and have a “roll up sleeves” attitude. Any experience in construction or the hospitality industry is desired.
