Corporate - Contract Law

Counsel - (Contracts) The candidate manages all contract activity for a Division, a major market segment, or for a project of significant size, and represents the Company in negotiations of the most-complex contractual issues. Negotiates complex contracts and other agreements in a time sensitive environment. Draws upon broad prior experience to effectively negotiate the most favorable terms and conditions with prospective and current clients while achieving Company objectives. Identifies risks and contractual terms not conforming to Corporate Contracting Guidelines.Participates in Division, Company, and Corporate strategic planning activities for specific projects (e.g., risk assessment, bid/no bid analysis, participation in business plan development, etc.). Analyzes legal matters arising in connection with the operation of the Infrastructure Global Business Unit (“GBUâ€), and as otherwise raised by management and its subsidiaries, and provides advice and counsel based upon research and acquired legal experience. Represents the GBU and, when appropriate, Parsons Corporation in connection with teaming or joint venture negotiations and other dealings with clients and partners on matters of major significance for projects or client/partner relationships. Assists Contracts Management and Supply Chain groups, as needed, in the negotiation and drafting of a broad range of contracts, purchase orders, and other transactional documents. Manages special projects, such as research, transactional documentation, supports changes in guidelines, policies, procedures and presentations to various groups as assigned by Deputy General Counsel/Contracts Director. Performs other responsibilities relating to the legal needs of the assigned GBU or Parsons Corporation as deemed necessary or desirable. Maintains an active participation in related professional societies to keep abreast of relevant contractual/legal issues. Keeps subordinates up to date relative to the availability of resource materials dealing with current contract administration and negotiation issues. Performs other responsibilities associated with this position as may be appropriate.
Qualification and Experience
The candidate must have Juris Doctorate degree in Law. 4- year degree in Technology, Engineering, or related field preferred. 15+ years of prime contract administration experience required. 7+ years of contract review experience within a large international engineering, construction, technology or law firm is preferred. Must have comprehensive knowledge of industry business practices and the negotiation of prime and related contracts. Experience in Engineering, Procurement & Construction (EPC), and Technology/IT/Intellectual Property (IP) licensing/sales is desired. Must be fully knowledgeable of all legal, business, technical, and long-term implications of prime contract negotiations and administration.
