Corporate Counsel
The candidate will be responsible to work independently to draft complex commercial contracts; work directly with senior management of the Company and cross functional departments in providing legal support on various matters; and perform other legal tasks as assigned by the General Counsel. Essential Duties include: Assess proposed commercial transactions and develops deal structures to minimize legal and business risks. Draft and negotiate complex agreements in relation to a wide range of commercial activities including sales contracts, distributor agreements, supplier agreements, licensing, confidentiality, real estate, consulting or employment contracts, etc. Provide counseling on legal regulatory matters as required. Handle employee-related matters in conjunction with the HR department. Manage litigation with the assistance of outside counsel. Must have Juris Doctorate degree from an accredited law school. 3+ years of experience with reputable law firm and/or corporate legal department is essential. Current Wisconsin Bar association membership and in good standing is required. Excellent academic credentials are beneficail. Effective negotiation, communication, and drafting skills are desired. Previous experience in a global manufacturing environment and publicly-traded company is preferred. Prior M&A experience is a plus. Previous experience in a law firm and/or corporate legal department is preferred.
