Job Overview:

A law firm in Stamford, CT is seeking a highly skilled and experienced Private Equity and Finance Corporate Associate Attorney. The ideal candidate will have a robust background in corporate transactional work, including mergers and acquisitions, private equity, and venture capital financing. This role demands excellent technical, professional, and client service skills, as well as the ability to work both independently and collaboratively.

Duties:

• Provide legal counsel on private equity transactions, including mergers and acquisitions, private placements, and venture capital financing.
• Advise on strategic joint ventures, capital markets, and corporate governance matters.
• Draft, review, and negotiate complex contracts and agreements related to corporate finance and private investment funds.
• Conduct thorough due diligence and legal research to support transaction structuring and documentation.
• Collaborate with clients to develop effective and creative legal solutions to meet their needs.
• Maintain up-to-date knowledge of relevant laws, regulations, and industry trends.
• Represent clients in meetings, negotiations, and other interactions with stakeholders.
• Prepare and review corporate governance documents and compliance reports.
• Provide mentorship and guidance to junior attorneys and support staff.

Requirements:

• 4 years of demonstrated corporate transactional experience.
• Strong background in mergers and acquisitions, private equity transactions, private placements, venture capital financing, strategic joint ventures, capital markets, corporate governance, private investment funds, and general corporate matters.
• Excellent technical, professional, and client service skills.
• Strong written and verbal communication skills.
• Proven ability to work independently, proactively, and as part of a team.
• Effective problem-solving skills with a focus on creative solutions.

Education:

• Juris Doctor (JD) from an accredited law school.

Certifications:

• Bar admission in good standing in Connecticut (CT).
