Subsidiary Governance Liaison
The candidate works closely with assigned operating company management to anticipate and expedite governance requirements of the units’ business plans and strategies. Advises on and oversees the formation, reorganization and liquidation of corporations, limited liability companies, joint ventures and partnerships. Prepares complex resolutions, notices, waivers, etc. for board and stockholder meetings. Participates in due diligence effort in corporate restructurings. Obtains legal opinions as necessary. Ensures subsidiaries meet legal requirements of all relevant jurisdictions. Attends and take minutes of meetings for certain joint ventures as applicable. Reviews and prepares supporting documents for stockholder and board meetings; ensures that regular, special, and annual meetings of stockholders and boards are conducted for assigned operating company subsidiaries, divisions and controlled affiliates. Serves as a member of an internal finance committee, which involves reviewing and revising proposals for the formation of new entities, corporate restructurings, stock transfers, sales of assets, dividends, and capital contributions. Liaises with business units on proposals regarding changes to corporate structure and prepares board and shareholder consents approving transactions and other non-routine matters. Provides documents and other corporate information in support of litigation, transactions and other business needs. Ensures proposals regarding changes to corporate structure comply with requirements. Provides trainings to business units on directors and officers duties, delegation of authority, execution authority and other governance matters as applicable. Manages changes to officer and director appointments for assigned operating company entities. Reviews powers of attorney to ensure compliance with corporate policies. Assists the business units and corporate departments with obtaining the execution of documents in compliance with corporate policies. Serves on project teams with operating company’s business unit for complex transactions. Understands legal requirements of complex transactions. Updates subsidiary database with regards to company information, including corporate details and director and officer appointments. Ensures that subsidiary database is current and accurate. Coordinates dissemination of information of operating companies and corporate departments. Assists operating company management to determine reporting of proposed items. Follows up with assigned operating company heads and line management to ensure governance actions will be implemented. Should have a Bachelor’s degree. Paralegal certificate is essential. Must have 5+ years of legal experience with focus on subsidiary governance. Excellent communications skills both written and verbal are essential.
