Compensation and Benefits Attorney The candidate will help provide customized solutions and high quality, cost effective legal services to support firm’s goals and objectives while ensuring compliance with relevant laws and regulations. Will provide advice and counseling to HR clients and business leaders on a wide range of legal matters, and serve as the primary day-to-day contact for employee compensation and benefits legal issues. Provide practical, daily legal advice on a full range of employee benefits issues, including Compliance with existing and new employee benefit and compensation plan laws and regulations, including CRD-IV, Reg Z, Reg R. Regulatory compliance of employee benefit plans with ERISA, HIPAA, the Affordable Care Act, COBRA, IRC, DOL and IRS Rules and Regulations. Design, administration, compliance and tax treatment of qualified (e.g., pension, 401(k)) and nonqualified deferred compensation plans, including familiarity with 409(A)design, administration, compliance and tax treatment of incentive compensation plans (cash and equity), including executive compensation arrangements (e.g., stock options, restricted stock units, performance stock units, performance cash awards). Supporting HR with respect to designing and drafting employee benefit plans (including health and welfare plans), plan amendments and summary plan descriptions, employee communications, and the design and implementation of new plans, programs and legislation. Plan administration, including advice regarding eligibility, plan operational issues, plan interpretation and beneficiary entitlements. Advice on plan governance matters, including advice on ERISA and fiduciary responsibilities related to company plans. Participate in the drafting of the Compensation, Discussion and Analysis section of the Form 10(k). Conduct legal and factual research related to internal client requests and initiatives. Work with and supervise outside counsel on benefits related matters. Participate as a team member in acquisition merger, and divestiture outsourcing projects with responsibility for benefits, compensation and other HR related matters. Negotiating agreements with third party service providers. Provide general labor and employment advice as needed.
Qualification and Experience
The candidate must have Bachelor’s and Juris Doctor from accredited institution. Should have 7+ years’ experience in law; 5 years in the area of compensation and benefits law. Experience in the financial services field is desired. Active licensed attorney and Member of a State Bar in good standing is required. Proficient with legal software and Microsoft Office applications is needed.
