Job Overview:

A law firm in Minneapolis, MN, seeks an experienced corporate and securities attorney to join its team. The ideal candidate will have 5-10 years of proven experience in corporate and securities law, with a strong background in advising on corporate formation, mergers and acquisitions, and securities compliance. The successful applicant will possess exceptional legal writing skills, analytical abilities, and the capacity to handle multiple assignments effectively.

Duties and Responsibilities:

• Advise on the formation and operation of corporations and limited liability companies in Minnesota, Delaware, and other states.
• Provide counseling to new companies regarding the choice of entity and structuring of their operations.
• Manage mergers, acquisitions, and dispositions, ensuring compliance with relevant laws and regulations.
• Oversee private placements and Regulation D offerings and ensure compliance with federal and state securities law filings.
• Implement equity incentive plans, including stock options and restricted stock.
• Draft board and stockholder resolutions for various corporate actions.
• Counsel directors and executive officers of corporate entities on legal matters and governance.
• Structure equity allocations for founders and employees of startup companies.
• Handle seed and venture capital financing transactions, including drafting necessary agreements.
• Draft and review NDAs, MSAs, Terms of Use, employment agreements, shareholder agreements, buy-sell agreements, and other general corporate agreements.
• Maintain basic familiarity with recurring tax, employment, and intellectual property issues.
• Collaborate effectively within the Corporate and Mergers and Acquisitions team to manage multiple assignments.

Requirements:

• 5-10 years of proven experience in corporate and securities law.
• Licensed to practice law in Minnesota.
• Ability to handle multiple assignments and work collaboratively within a team.
• Strong legal writing, analytical, negotiation, and communication skills.
• Experience advising on corporate formation, securities law compliance, and equity incentive plans.

Education and Certifications:

• Juris Doctor (JD) degree from an accredited law school.
• Admission to the Minnesota State Bar.

Skills:

• Expertise in corporate, transactional, and securities law matters.
• Proficiency in drafting and negotiating complex legal agreements.
• Ability to build relationships with clients and colleagues.
