Profile

Associate Attorney – Corporate
The candidate will support deal teams, including diligence, drafting and negotiating deal documents, coordinating closings, and managing consultants and specialists. Other duties will include consulting on clients’ general corporate needs such as mergers, reorganizations, commercial transactions, entity formation and structuring, limited liability company agreements, shareholders agreements, partnership agreements, employee incentive plans, and commercial lending transactions.

Qualification and Experience

The candidate should have 3+ years of relevant experience to handle clients’ legal transactions, commercial contracting, and general corporate governance needs. Some experience leading a deal team is preferred. Securities, cyber security, real estate, and/or tax experience is a plus. Should have outstanding negotiation and communication skills, with sharp attention to detail, and will work well as part of a collaborative team. Must be admitted to practice in or eligible for prompt admission into the District of Columbia. Maryland and/or Virginia admissions are encouraged.
