Assistant General Counsel The candidate will be providing legal counsel and policy support on firm corporate commercial law issues and advocacy issues related to emergency response services, training, tax compliance, and transportation and tax advocacy, protecting firm’s legal interests and ensuring compliance with all applicable laws. Responsible for managing legal matters in assigned areas, including assisting in the selection of outside counsel as needed, managing outside counsel, and ensuring projects come in at or below budget. Coordinate legal issues with appropriate in-house firm colleagues and reports directly to the Deputy General Counsel. Writes and negotiates agreements and contracts on behalf of the organization. Reviews advertising, promotional and other communication materials for compliance with laws and firm policies. Provides legal counsel, strategic advice, and policy support on commercial, trademark, regulatory, litigation and legislative advocacy issues. Develops and writes regulatory comments, position papers and other advocacy documents. Provides substantive legal counseling on assigned legal topics/issue areas. Manages selection, oversight and budget of outside counsel, including ensuring that the work product is of high quality and within budget. Manages litigation, including settlement negotiations, using outside counsel as appropriate. Drafts and negotiates contracts for the purchase of outside services as well as resolves contract disputes. Provides preventative liability and antitrust counseling for assigned groups, including reviewing agendas, minutes and other communications materials. Coordinates with member companies on matters of legal importance to firm and its members. Builds and maintains positive and results oriented relationships with firm staff, member company representatives and relevant third parties. Manages subpoena/deposition requests received by firm. Performs other related duties as assigned.

Qualification and Experience

The candidate should have a JD degree from an accredited law school. Admission to the Bar to practice law needed. Should have 7+ years of experience as an attorney, strong negotiating skills with legal and financial/commercial issues. Strong written and verbal communication skills needed. General regulatory practice and advocacy experience preferred.
