ProfileSeeking Corporate Paralegal with 5+ years of experience as a corporate paralegal in large law firm and/or in house setting supporting either corporate transactions or fund formation lawyers. Candidate's responsibilities will include supporting Business Department lawyers in preparation for, and the closing of, various business transactions including mergers and acquisitions, financings and private fund formations. Bachelorâ€™s Degree is required; Paralegal Certificate a plus. Should be proficient in researching state corporate filing requirements, drafting and filing documents required to form business entities, including corporations, partnership, limited liability companies and not-for-profit organizations, preparing votes and maintaining corporate and stock records, reviewing subscription agreements, preparing and filing UCC financing statements and obtaining certificates of good standing. Knowledge and experience with Form D and Blue Sky filings is a plus. Strong communication and interpersonal skills and ability to work successfully with attorneys and clients are necessary. Must have: Knowledge of the internet for legal research. Experience using electronic signature solutions, and Corporate Focus, CapShares and/or Carta background is preferred.

Talk to everyone more frequently to communicate with them about their needs and your expectations. People do not perform well when there is stress due to uncertainty - when this can be prevented, there's no reason they need to be subjected to it.Pros : Benefits and pay were satisfactory, for me. Work was relatively interesting. Associates and staff were easy to get along with. I thought the location was good, but there were mixed opinions on this, based on who I asked.
