The Mid-level Capital Markets Associate Attorney will play a pivotal role in handling a variety of transactional matters related to both public and private equity and debt securities offerings. The role involves representing diverse clients, including issuers, investors, and underwriters, with a focus on ensuring compliance with Exchange Act reporting and corporate governance.

 

Duties:

  • Manage and execute transactions involving public and private equity and debt securities offerings.
  • Represent issuer, investor, and underwriter clients in a broad range of transactional matters.
  • Ensure compliance with Exchange Act reporting and corporate governance requirements.
  • Provide legal counsel on securities laws and regulatory matters.
  • Draft and negotiate transactional documents with precision and attention to detail.
  • Assume a lead role in managing the execution of transactions.
  • Collaborate with clients to understand their business goals and tailor legal strategies accordingly.

 

Requirements:

  • Juris Doctor degree from a reputable law school.
  • Active Bar membership in the state of Georgia.
  • 2+ years of experience with a sophisticated large or mid-sized law firm.
  • Broad transactional experience in public and private equity and debt securities offerings.
  • Experience with Exchange Act reporting and corporate governance compliance.

 

Skills:

  • Excellent drafting and negotiation skills.

  • Strong understanding of securities laws and regulatory compliance.
