Real Estate Paralegal The candidate will provide support and assistance to attorneys in the Legal Department by performing various paralegal, administrative, and clerical functions, which functions require strong organizational and project management skills. Will work closely with Senior Corporate Counsel and other members of the Legal Department with the closing of complex commercial mortgage loan and real estate acquisitions and sales transactions, real estate development and construction, and various other business law practice matters. Also, requires the preparation of loan abstracts, lease abstracts, closing checklists and transaction documents, coordination with internal and external parties, review of due diligence, and preparing and maintaining files and closing binders. Paralegal will work closely with Assistant General Counsel & Assistant Corporate Secretary in connection with governance matters, minute book management and subsidiary management. Organization of files for the purchase, sale and mortgage loan financing of real property and preparation of closing binders, lease abstracts, and/or loan abstracts. Assist in the drafting and tracking legal documents pertaining to transactions. Performing pre-closing, closing, and follow-up duties by contacting and communicating with title companies, consultants, government agencies, etc. Maintain real estate master file form documents in an orderly and organized manner. Legal research and related analysis of real estate and business transactions of a complexity ranging from basic to moderate. Knowledge pertaining to all stages of corporate transactions, including the preparation of documents necessary to comply with federal, state and local regulations. Assist in the preparation of documentation for formation, amendments, withdrawals, mergers, and dissolution of corporations, partnerships, and/or limited liability companies. Prepare for and close various corporate transactions. Assist with filings, document revisions, correspondence, and other clerical functions to improve the efficiency and performance of the department. Coordinate transaction execution and troubleshooting with multiple internal and external stakeholders. Assisting with ethics and compliance programs. Other duties and responsibilities as assigned.

Qualification and Experience

The candidate must have 5 years commercial real estate and corporate paralegal and legal assistant work experience. Bachelor’s degree and paralegal certificate or appropriate job-related experience required. Paralegal Certificate/Degree preferred. International real estate or transaction experience a plus. Corporate secretary and governance support a plus. Must have strong organizational and clerical skills including attention to detail and accuracy. Must be proficient in word processing and spreadsheet software programs, including Word and Excel. Familiarity with MS Project a plus.
