Securities Counsel/Governance Attorney
Responsibilities: Plan and organize Annual Shareholder Meeting, including creation and distribution of meeting agendas and Board materials and preparation of meeting minutes. Advise the Board by monitoring corporate governance developments. Handle Code of Business Conduct policy and annual survey. Advice on Board governance and manage all approvals and minutes for Board and Board Committees. Manage communications with the Board members. Advice on public company reporting and securities law matters. Assist with preparation of SEC filings (such as proxy statements, Forms 10-K, 10-Q, and 8-K, etc.). Advice on employee equity documents and plans and respective benefit programs.. Management of the Company’s Insider Trading Compliance program. Assist sister corporations with various SEC matters or questions.. Assist with subsidiary management responsibilities as concerns meetings and filings. Be primary internal legal contact for the Company Environmental department and monitor those matters. Assist Company’s environmental department, as necessary, with the selection and management of outside counsel. Act as liaison between internal Environmental department and outside counsel. May monitor any litigation as handled by outside counsel. Assist corporate team in the review of customer contracts. Evaluate contract review process and update templates for best practices and business accommodations. Work directly with US business teams (corporate office and field). Work towards providing contract training for business teams. Manage outside legal counsel engaged by the company on matters requiring specialized knowledge or expertise.. Develop self-service tools and conduct training for internal stakeholders or business partners on a variety of legal, contractual, and compliance issues.

Qualification and Experience

Qualifications: Good independent judgment and discretion, strategic planning, and analytic skills to render objective business decisions. Strong interpersonal skills, including diplomacy and flexibility, with the ability to communicate effectively across the organization with individuals at all levels of seniority, including members of the Board and executive management. Strong project management, customer service, and organizational skills. Can work well independently as well as part of a team. Able to manage tight deadlines and multiple responsibilities simultaneously, while maintaining a high quality of performance and customer service. Proficient in Microsoft Office Suite (Outlook, Word, Excel, Teams, Adobe Acrobat Pro). Familiarity with CounselLink is a plus.
