Paralegal - Secured Lending Transactions (Durham, NC) The candidate will be responsible for supporting the regionally assigned attorneys within the Venture Banking Division of the Legal Department, conducting due diligence (including performing any analysis and requisite research) associated with the closing of secured lending transactions, filing security interests relating to existing and new loan customers, drafting loan documentation and correspondence, filing various documents with governing agencies, and otherwise assisting the Legal Department as needed. Work closely with the Legal Department Attorneys and the Paralegal Manager to manage deals through the entire documentation and due diligence process for secured lending transactions for venture-backed companies and other commercial loans; Work closely with Bankers (many of whom are in the Bank’s other offices around the country) in connection with documentation of new loans and modifications to existing loans; Work collegially with other Legal Department team members on an ongoing basis as needed to ensure the due diligence process is completed timely and that loans are properly collateralized at closing; Draft amendments to loan and security agreements, waivers, corporate resolutions, and consent letters consistent with all credit approvals and Bank procedures; Draft ancillary documents, such as subordination agreements, account control agreements, notices of default, and payoff letters, consistent with all credit approvals and Bank procedures; Conduct due diligence for existing and new loan customers of the Bank including research and analysis, ordering UCC, IP and Good Standing searches; Analyze and interpret search result findings, with ability to identify legal issues and provide assistance to resolve any issues; Analyze corporate formation documents, organizational charts, of prospective borrowers and affiliated entities; File UCC financing statements and Intellectual Property Security Agreements as necessary to perfect the Bank’s security interest in assets of the Bank’s loan customers.

Qualification and Experience

Qualifications: Bachelor’s degree (with ABA approved Paralegal Certificate or underlying Associates Degree preferred). 3+ years of experience in secured lending, mergers & acquisitions, or corporate transactional matters (law firm experience preferred). Exceptionally bright, enthusiastic, and highly motivated and organized. Ability to work independently, exercise good judgment, and proactively solve problems; Ability to track and meet deadlines, manage multiple projects simultaneously, and adapt to fast paced, and ever changing needs and market demand associated with highly competitive lending atmosphere; Professional discretionary skills; ability to understand and deal with confidential matters; Exceptional attention to detail, accuracy and time management; Excellent interpersonal skills with strong verbal and written communication. Proven ability to seamlessly use the Microsoft Suite: Outlook, Excel, MS Word with an emphasis on spreadsheets and workflow tracking software.
