Counsel The candidate will manage all legal aspects of real estate acquisitions and dispositions. Will advise Development Team during Term Sheet negotiations. Purchase Agreement drafting, review, and negotiations. Due Diligence – title, survey, environmental assessments, etc. Advise and assist Development Team on local zoning matters, as appropriate; engage and manage outside zoning counsel. Draft, review, and negotiate closing documents. Handle closing and post-closing matters. Legal Aspects of Development. Plat Process, Declaration of Covenants, Easements, and Architect’s Agreements. Negotiate, draft and review Development Agreements, Reimbursement Agreements and Lease Term Sheets. Review and negotiate loan documents. Due diligence matters associated with financing. Participate in meetings and represent legal department. Meet with Development Directors as necessary. Review and negotiate construction contracts. Assist Construction Team with any legal matters that arise during the course of construction. Participate in meetings and conference calls. Engage and manage outside counsel as needed. Review applications, Term Sheets, Resolutions, Ordinances, Economic Development Agreements, etc. Review and negotiate Bond documentation; handle Bond closings. Coordinate/manage Company litigation. Engage and manage outside litigation counsel. Coordinate internal discovery requests/responses. Provide regular updates to executive team regarding pending litigation matters. Prepare litigation summaries for third party due diligence inquiries and audits. Must have 4-year undergraduate degree, JD degree is needed. Admission to Indiana State Bar is needed. Should have 4 - 6 years experience in real estate/development law; prior in-house counsel experience is preferred. Litigation experience is preferred.
