Senior Counsel, Digital Health Enterprise
Responsibilities: Serves as lead counsel digital health business executive leadership, in the development, structuring and execution of innovative technology initiatives, products, and transactions. Provide legal expertise, drafting, and negotiation for unique transactions, including complex contracts, development agreements, pilot programs, and other strategic initiatives. Serves as lead counsel to business and technology development teams across the digital health enterprise responsible for projects ranging from mobile apps to new AI/ML models supporting clinical operations. Provides legal advice, transaction support, and contract drafting and negotiation for these efforts. Participates in the product development and review process, and coordinates closely with subject matter experts across the enterprise in such areas as privacy, intellectual property, litigation, and health law. Supports the design and implementation of the legal architecture for digital health enterprise’s data governance operations and data driven initiatives. Supports development of digital health enterprise-wide policies, procedures, and related materials, such as contracts and training materials, regarding data acquisition, protection and use. Supports the enterprise-wide legal teams by drafting, reviewing and negotiating data protection and use provisions in contracts. Participates in the external materials review and product development processes, and coordinates closely with business and legal subject matter experts across the enterprise. Digital health-related services cut across multiple legal and regulatory fields include, but are not limited to: Developing regulatory strategies for innovative technologies, and assisting clients in executing those strategies to achieve regulatory compliance and business goals Providing counsel on FDA regulations, submissions, approvals, and clearance and marketing issues Advising on licensure, credentialing and privileging, online prescribing, and corporate practice of medicine matters Providing guidance on Medicare and Medicaid reimbursement and innovative payment systems to drive technology adoption Drafting clinical trial agreements, and advising on risk management during clinical trials Providing counsel on compliance with the Stark Law, the Anti-Kickback Statute, and other federal and state fraud and abuse laws. Drafting and reviewing contracts for digital health products and services Develops and maintains relationships with external agencies and technology companies, as appropriate.

Qualification and Experience

Qualifications: JD Degree from an accredited law school and 5 years of post-bar attorney legal work experience in a combination of law firm and corporate settings. Licensure to practice law in at least one state. Illinois Bar membership or active bar membership in good standing in at least one U.S. jurisdiction. Experience focused on digital health, connected health, and/or healthcare services.
Preferred Qualifications: Experience advising on privacy and data security laws, and assisting security and risk analysis obligations under international, federal, and state laws and with data-breach response and mitigation. Experience providing guidance on the formation, financing, and governance of digital health entities. Experience providing digital health investors with venture capital and private equity transaction support. Experience advising on strategic alliances and joint ventures, mergers and acquisitions, and divestitures. Experience conducting health care regulatory due diligence in corporate transactions. Experience developing and maintaining relationships with legal counterparts of outside agencies and health companies. Experience with a wide range of Company types, such as startups, established companies, entrepreneurs, investors, and health care institutions.
