Senior Technology and Innovation Counsel Responsibilities: Work with the Digital Transformation business to evaluate software, technology and services offerings to prepare those offerings for market, considering potential legal and other risks. Review global software services and provide practical legal risk analyses, mitigation strategies, and client-facing terms for those products. Collaborate with the business teams to evaluate the technology related to their businesses including reviewing inbound technology and data supply templates/agreements and outbound or client facing templates in different geographies, industries and regulatory environments. Provide legal analysis and advice regarding technology initiatives and strategy, including counseling and collaborating on regulatory, privacy, security, intellectual property, and other issues. Draft, review, redline and negotiate commercial and vendor agreements related to technology, construction, and installation and service of security systems. Negotiate terms directly with customers and draft amendments to commercial agreements. Learn and understand the technology sufficiently to educate and advise the business with respect to legal and risk management issues relating to the offerings. Develop clear communications, guidance, templates and trainings regarding the offerings for the development teams, sales teams and contracting legal teams that lead client facing contracting. Manages and provides counseling on trade secret and confidentiality-related matters.
Qualification and ExperienceQualifications: JD from an accredited law school. Admitted to the Bar (or local equivalent) and in good standing or otherwise authorized to practice law. Should have 5 years of commercial and transactional and/or intellectual property experience drafting and negotiating cloud computing arrangements, software-as-a-service, and data licensing and/or development agreements. 5+ years of commercial contract drafting and negotiating experience gained in a law firm and/or in-house environment. Prior in-house experience is preferred. Experience bringing new technology and software products to market in a legally compliant manner, including those using third-party data. Technology transactional experience in drafting and negotiating technology-focused client-facing and/or vendor-facing agreements (i.e. data licensing, software as service agreements, cloud, software license agreements, or software development agreements). Working knowledge of data and security privacy issues; IP law; open-source licensing; and general product development considerations. Ability to operate independently with minimal supervision to negotiate commercial contracts.
