Mergers and Acquisitions Executive Responsibilities: Work with Chief Operations Officer (COO) and JSTI (Chinese parent) executive team to develop and execute plans to build broad scale environmental testing capability in China. Support market research efforts in China to understand regulatory drivers; engage with key influencers; understand current competition; understand key testing methods required to enable the definition of short, medium and long-term plans, expectations and investments. Study product/service portfolios and effectively identify Mergers & Acquisitions (M&A) strategic buyers and targets for the company’s various acquisition or divestiture projects. Identify and evaluate potential targets that fit within the company’s acquisition strategy for environmental testing and indoor air quality testing expansion. Support COO in the evaluation, execution and integration of domestic and international acquisitions with a primary focus on the development of a suite of capabilities to support the Chinese market. Draft target company approach letters, teasers, acquisition idea and buyer profiles, information memorandums, management presentations as well as other marketing materials relative to M&A activities. Participate in Confidentiality Agreement, Letter of Intent, and Sale and Purchase Agreement negotiations. Function as bridge between JSTI and TestAmerica as environmental testing capabilities are developed and implemented in China. Interpret and translate for executive meetings and provide general counseling to facilitate day-to-day business discussions. Provide counsel on general investment trends for JSTI as a Chinese investor and policy trends on inbound Foreign Direct Investment (FDI) from China to the US.
Qualification and Experience
Requirements: Master’s degree in law, public administration or related field and 2 years of experience in the job offered or 2 years of international M&A experience. Experience must include 2 years' identifying M&A strategic buyers and targets worldwide; performing DCF, M&A comps, LBO, accretion/dilution and WACC analyses; drafting target company approach letters, teasers, acquisition idea and buyer profiles, information memorandums, management presentations and pitch books; and participation in Confidentiality Agreement, Letter of Intent and Sale & Purchase Agreement negotiations. Experience must include 2 years of experience with Chinese and US regulatory systems relative to cross-border M&A transactions including the CFIUS review process. Experience may be gained concurrently. Must be fluent in written and oral Mandarin.
