Senior Counsel Responsibilities: Develop a deep and expert understanding of the companyâ€™s products, services and business model. Build strong relationships with company executives, sales, services and product teams to draft, review, and negotiate a variety of software, technology and commercial contracts, including a heavy volume of software license agreements, partner agreements, reseller and OEM agreements. Prepare and maintain appropriate form agreements, including order forms and license agreement forms. Assisting with other corporate matters, including trademark and patent development and maintenance and vendor management. Provide timely and practical legal advice to the companyâ€™s business leaders, including proactively identifying recurring issues and providing advice and counsel to the companyâ€™s senior leaders on complex issues having impact on the company. Develop strong partnerships with internal clients and the executive team to achieve successful business outcomes. Keep abreast of applicable laws, regulations and industry guidance that impact software licenses and commercial agreements.
Qualification and Experience
Qualifications: JD Degree from a top law school; member of CA State Bar in good standing. 5-7 years of commercial and technology transactions, with a strong background drafting and negotiating software license agreements gained from advising software companies while at a law firm and/or working in house. Specific experience with SaaS, cloud computing, commercial and enterprise software and international experience are highly valued. California-based candidates preferred.
