Senior Staff Counsel The candidate will provide legal support to firm’s Financial and Risk Management Solutions (FRMS) division. Will negotiate client, vendor, and channel partner agreements with a high degree of autonomy; providing counsel to contracts professionals, sales, account management, product, implementation, and technology leaders on legal matters; and liaising with company specialists regarding intellectual property, technology, privacy, security, regulatory, employment, and litigation matters. Work directly with business unit executives to draft, review, and negotiate all contracts required by the business from start to finish, including client agreements, vendor agreements, channel agreements and other forms of agreements and documentation. Work independently or with minimal oversight, in accordance with firm contracting standards and the direction of the Assistant General Counsel for the business. Provide support for domestic sales, as well as international sales within Latin America and Caribbean markets. Provide consultation and legal advice with respect to strategic initiatives, technology projects, customer and vendor contracts, intellectual property, human resources, dispute resolution, regulatory matters, corporate policies and procedures, and administration. Establish trust with senior business unit leadership through effective legal advice, communication and conduct. Understand firm contracting standards and enterprise risk thresholds and issues. Independently perform risk mitigation and appropriately advance risks in new and legacy agreements and other business matters without significant oversight from the Assistant General Counsel for the business. Maintain knowledge of industry standard methodologies; keep tabs on proposed and existing legislation related to operations of the division and advise the business accordingly. Evaluate contracting and other Legal Department procedures and standards based on experience and ongoing learning; suggest improvements to the same. Provide sound direction to contracts professionals on legal and contracting matters, including effective document review, issue-spotting, problem-solving, and intensifying concerns to business and legal management teams. Develop and maintain forms of contracts and other legal documentation. Perform other duties as required. Undergraduate degree and Law degree from a law school approved by the American Bar Association or proper state authorities as well as an appropriate license to practice law is needed. Should have 5+ years of progressive legal experience required; law firm and/ or in-house experience. Significant transactional and commercial contract training and negotiation experience required, operating with meaningful latitude for un-reviewed action or decision is essential. Experience as lead negotiator of technology solutions contracts with sophisticated clients and vendors (e.g., Fortune 500 companies, national banks) while working in concert with contracts professionals and business executives is needed. Experience providing legal guidance to a business unit or product or services organization is preferred. Management experience desired. Experience working with data handling and analytics is a plus. Proficient Spanish written and verbal skills is preferred.
