Senior Counsel The candidate will be utilizing balanced lawyering to negotiate, draft and close a wide variety of complex client contracts, including payroll administration, tax filing services, time and labor management services, benefits administration services, talent management services, and business process outsourcing services under limited supervision. Will be focusing on client contracts and documents related to client contracts, including maintaining and updating such contracts. Conducting periodic training on the services and agreements and the contract process in general; assisting in connection with responses to RFPs. Providing legal support on compliance initiatives, reviewing marketing materials; and, as needed, negotiating and drafting strategic alliance agreements, reseller agreements, professional services agreements, nondisclosure agreements and other legal documents. Providing general legal advice as required on other matters.
Qualification and Experience
The candidate should have excellent academic credentials and 8-10 years of relevant experience, preferably with a top law firm or corporation, and preferably with a focus on outsourcing. Bar membership required. Experience with software as a service agreements, licensing, e-commerce and other technology-related contracts is useful. Sensitivity to regulatory issues and ability to recognize ERISA, COBRA, antitrust and securities issues when applicable, is useful.
