Legal Assistant- Drafting - Assistant Vice President The candidate will support the relevant team leader and will develop relationships with key business partners across the firm in order to provide support to our Fund governance and Board meeting process. Will be responsible for drafting meeting minutes, agendas, legal resolutions and various memoranda. Strong Microsoft Word knowledge and professional or technical writing skills and related 1940 Act experience are required. Coordinate and/or assist in all aspects of board meeting preparation and follow-up including drafting shells of the meeting notices, agendas, executive summaries, flash reports, resolutions, minutes and other routine documents to be submitted for review by supervising personnel. Responsible for gathering, proofreading and maintaining of all documentation for fund Board meetings in coordination of various internal and external parties. Responsible for distribution of all Board meeting materials by either uploading all materials to an electronic board books system or coordinating printing of the materials, as applicable. Update and distribute annual questionnaires to officers, trustees/directors and nominee. Complete drafts of various consents, corporate documents and various state and regulatory filings to be submitted for review by supervising personnel. Oversee all legal, contract, insurance and various Fund files, including online maintenance of routine and other contracts based on templates and in coordination with other departments. Coordinate and prepare of materials for shareholder meetings and related matters. Track, prepare and/or assist with any required statutory corporate or regulatory filings for the closed-end funds, including NYSE filings, press releases, etc. Assist with ad hoc departmental projects as assigned.
Qualification and Experience
The candidate should have Paralegal Certificate or equivalent degree. Strong drafting/professional /technical writing skills in similar field are required. Previous relevant years of working experience and knowledge of the mutual fund industry, including experience and/or knowledge matters affecting 1940 Act mutual funds is a requirement. Strong interpersonal and verbal and written communication skills, including strong grammar, spelling and proof reading skills are required. Should be proficient in computer, software and internet navigation skills. (Microsoft Word, Excel, PowerPoint and Adobe). Proficiency in Microsoft Word, PowerPoint and Excel is a must. Work experience in a financial services/asset management company or a law firm is required. Bachelor’s Degree is required
