Global Corporate Trust Attorney
The candidate will provide excellent advice and guidance to clients and colleagues, on a variety of legal matters. Will build trusting relationships that allow the business to make well-informed decisions. Work to attract, retain, and develop great people in an inclusive environment where each person is valued for the distinct skills and attributes they bring to the group. Contribute to the excellence of the Law Division through meaningful collaboration, participation in the community, and investment in the development of the department. Be part of a team responsible for legal issues affecting the Global Corporate Trust and Custody (“GCTC”) division of Bank. Provide advice and support with respect to administration of defaulted accounts, managing pre-litigation matters, and provide litigation management support. Handle engagement of trustee's counsel, advise on business line practices and procedures, participate in business line meetings typically related to default administration, assist with early identification of matters of possible media interest, handle conflict waivers, and prepare periodic status reports concerning pre-litigation and litigation matters. Regularly interact with the bank's litigation group. Provide advice to GCTC concerning issues related to the administration of municipal and corporate finance accounts and will review and negotiate escrow, document custody, transfer agent, paying agent and other complex agency agreements. Responsibilities also include interpreting state and federal laws and regulations issued by agencies such as the SEC, OCC, and MSRB.

Qualification and Experience

The candidate should have a Law degree. Should be licensed by and in good standing with the appropriate State Bar association or other appropriate state attorney licensing authority. Must have 8-10 years of experience as an attorney. Should also have 7+ years of litigation-related experience involving financing transactions, preferably including experience representing corporate trustees. Background in the legal and regulatory issues applicable to fiduciaries and agents in the context of corporate trusteeships is desired. Experience in representing corporate fiduciary and/or financial institutions is helpful. Thorough knowledge of laws and regulations impacting the subject matter and/or business line supported preferred.
