Contracts Attorney
The candidate will be the go-to person for contractual/compliance matters and have the opportunity to grow and structure many of our legal processes and policies. Additionally, will be a major contributor to Science Exchange’s commercial success and have the ability to grow into other legal areas over time. Will be well-versed in contract creation, contract negotiation, and the legal/compliance side of the clinical industry. This position will report directly to the Chief Financial Officer. Develop, negotiate, and execute contracts including Clinical Trial Agreements, Statement of Work, Indemnity Agreements, Non-Disclosure Agreements, Material Transfer Agreements, Master Service Agreements, Sponsored Research Agreements, Fee-For-Service Agreements,and Intellectual Property agreements. Work closely with customer and service provider teams. Review and revise 3rd party contracts, identify contractual risks, and recommend solutions according to best practices. Keep forms updated in accordance with best practices. Develop and manage outgoing communication regarding Science Exchange’s legal process. Build and maintain relationships with CRO/CRU and legal groups at biotech/pharma companies. Work alongside our external legal counsel to advise the company on other legal matters (e.g. Terms of Service, Privacy Policy, Intellectual Property and Indemnification provisions) Understand business practices in the life science industry.

Qualification and Experience

A J.D. plus BS/BA in business, law, supply chain, or science discipline preferred. Preferred: Understanding of compliance/privacy regulations, such as GLP, GMP, GDPR. Should preferably have Experience negotiating other types of contracts (e.g. marketing, finance, HR & IT). Should have experience as a Contracts Administrator/Specialist in a CRO/CRU setting. Must have strong business acumen and an approach to legal contract work that considers business outcomes and relationships. Should have thorough understanding of HIPAA and its global equivalents. Knowledge of the CRU landscape is required. Knowledge of different contract types (e.g. CR. FP, and T&M) is needed. Must have understanding of export/import regulations. Should have in-depth knowledge of ICH/GCP and all applicable laws and/or guidelines in the clinical space. Must have trong listening skills: able to both listen to and interpret the legal needs ofs researchers, labs, and companies.
