Senior Paralegal and Manager of Records The candidate will supports the Legal Department in business licensing and registrations, contract processing and management, legal invoice approval and processing, litigation holds, word processing, corporate governance, document management, legal research, and provides legal administrative support for the Department. Also manages the Records Department and oversees electronic and paper records management and retention. Maintain confidentiality of sensitive legal and HR matters with discretion. Maintain Legal Department databases and file systems for transactional and litigation matters. Manage and maintain corporate records, minute books, business licenses and registrations, and other corporate documents, including a centralized contract management database. Perform legal research under the supervision of attorneys. Develop and maintain standard contract, letter, and other business templates. Draft and revise correspondence, memos, and other documents. Manage legal billing system and Legal Department invoices. Review of contract and other agreements in support of the Legal Department. Manage Legal Department subscriptions. Assist in the formation and maintenance of various corporate entities. Assist with merger and acquisition transactions and associated due diligence. Assist in special project support tasks as needed. Act as law librarian, keeping and monitoring legal subscriptions and resources up to date. Interact professionally with internal/external clients and staff and maintain attorney-client confidentiality and confidentiality of member information. Coordination of legal holds, service of process, and subpoena responses. Assist in management of litigation, including discovery. Other support for Legal Department as needed. Supervise Records Department staff. Oversee retention and destruction of paper and electronic records.
Qualification and Experience
The candidate should have Paralegal certification by an institution approved by the American Bar Association or college training in paralegal studies or in a law degree program strongly preferred. In the absence of a paralegal certificate, years of relevant experience may be considered. Bachelor’s degree is preferred. Should have 5+ years of paralegal or equivalent experience. Experience in a law firm is strongly preferred. Strong knowledge, understanding and sensitivity to the Inupiat culture. Relevant legal experience supporting senior level executive staff with a proven working knowledge of corporate activities including shareholder meetings and board meetings. Ability to organize work, establish priorities, and maintain good interpersonal relations and communications with legal/records department, corporate department and subsidiary staff. Working knowledge of various corporate filings, officer certifications, and other corporate procedures. Ability to identify and analyze complex legal issues and draft legal memoranda, position papers, and related documents. Ability to manage professional accreditation requirements, periodicals and memberships, etc. Must have strong technical knowledge of database, spreadsheet and Microsoft Office software. Excellent command of proper grammar and spelling with superior knowledge of correct law and corporate office format, policies and procedures, and the ability to edit and proof legal documents with excellent accuracy. Good writer with a solid understanding of contract and legal terms.
