ProfileIn-House Attorney The candidate will be responsible for providing and procuring legal services across a broad range of commercial and corporate work for all sectors of the Company in North America and the Americas, as well as instructing, managing, and supervising legal resources. Will serve as the internal point of contact for the provision and procurement of legal services across a broad range of commercial and corporate work globally to all sectors of the Company, mainly focus on the trading development of the Company in the Americas. Instruct, manage, and supervise outside counsel, including negotiating fees, rates, and terms) of engagement. Provide assistance during all stages of a dispute, including offering live advice to Commodity Traders, Financial Officers and Operators. Manage arbitration, litigation, mediation, and encourage enforcement focusing on trading, shipping, and demurrage disputes, as well as other disputes and investigations, including financial and insolvencies. Report the progress of disputes to management and commercial desks. Draft and provide advice for a variety of agreements, including sale/purchase contracts, confidentiality agreements, storage and terminal agreements, MOUs, joint ventures, and review/update template agreements. Draft and provide advice for finance documents, structures, corporate structuring issues, share/asset sale, and purchase agreements; providing advice on regulations relevant to the business. Provide and procure training to commercial desks and middle and back office staff on legal issues on an ad hoc basis, as part of established training programs, and in relation to compliance programs.
Qualification and Experience
The candidate must have a J.D. in law. Should have 5+ years of relevant experience OR 5+ years previous experience as an attorney or directly related position. Must have experience handling trading deals both domestic and international, private and public M&A transactions, both domestic and international, maintaining frequent contact with clients and counsel drafting, negotiating and reviewing documentation relating to trading deals, storage, terminal agreements, transportation agreements, stock and asset acquisitions and dispositions and joint ventures, including stock purchase agreements, asset purchase agreements, partnership agreements, joint venture documents, stockholders' agreements, credit agreements and related ancillary documents. Must be fluent in Spanish.
