ProfileSenior Paralegal The candidate under limited direction, provide legal and administrative assistance to attorneys within the Legal Department. Play an important role in managing regulatory risk, managing litigation, drafting documents, processing subpoenas, completing SEC filings and other legal tasks as directed by the managing attorney. General Operates in full compliance with internal policies and procedures as well as applicable regulations and laws, including but not limited to Bank Secrecy Act/Anti-Money Laundering requirements. Responsible to report any procedure or process that doesn’t meet regulatory requirements including fraud, whether suspected or confirmed, to management. This reporting can be done directly to any member of management, including Human Resources or Corporate Security, or can be reported through Associated’s anonymous Ethics Hotline. Analyze and research complex legal and business problems and make recommendations regarding proposed course of action to in-house counsel. Prepare drafts of memorandums, letters, contracts, licenses, agreements, and related documents and records for attorney review. Assist in the management of litigation, including the filing of necessary forms and documents and maintaining litigation logs and reports. Prepare governmental filings, including SEC filings and act as liaison with government agencies, outside counsel, internal and some external customers, shareholders, and others as necessary to carry out the responsibilities of the Law Department. Coordinate subpoena processing and discovery results. Review non-disclosure agreements for compliance with bank vendor management requirements. Approve and draft revisions as permitted by bank vendor management requirements. Review pleadings and other civil process. Draft answers to summons and responses to interrogatories and other civil process under direction of supervising attorney.
Qualification and Experience
An Associate's Degree With Paralegal Certification Required. Bachelor's Degree With Paralegal Certification Preferred. 4-7 years Administrative Experience Required. 4-7 years Paralegal Experience Required. 4-7 years Experience dealing with complex legal and business issues. Preferred. Section 16 filing experience preferred.
