A law firm based in New York City is seeking a Mid-Level Investment Funds Associate Attorney with 4-5 years of experience. The successful candidate will support the expanding New York Investment Management Group. Stellar academic credentials and relevant law firm experience are required.

Duties and Responsibilities:

  • Advise clients on investment fund formation, including private equity, hedge funds, and venture capital funds.
  • Draft and review fund formation documents, including partnership agreements, offering memoranda, and subscription agreements.
  • Conduct legal research and provide analysis on investment management regulations and compliance matters.
  • Assist in negotiating and structuring fund investments and co-investments.
  • Collaborate with clients and internal teams to address complex legal and regulatory issues related to investment funds.
  • Stay current on developments in investment management laws and regulations, and advise clients accordingly.
  • Support due diligence processes related to fund formation and investment transactions.
  • Provide guidance on ongoing regulatory compliance and reporting obligations for investment funds.

Requirements:

  • 4-5 years of experience in investment funds law, including fund formation and investment management matters.
  • Stellar academic credentials and a proven track record in a law firm setting.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Admission to the State Bar of New York (or eligibility for admission).

Skills:

  • Expertise in investment fund formation and management, including private equity, hedge funds, and venture capital funds.
  • Strong drafting, research, and analytical abilities.
  • Ability to negotiate and structure complex fund investments and co-investments.
