Global Information Technology Sourcing and Data Protection Contracts Counsel The candidate will primarily support and counsel the Technology Transformation Services (TTS) organization and Legal Affairs on relevant legal issues related to IT, cybersecurity, and IT sourcing. Will advise, review and negotiate agreements including structuring, drafting, and negotiating customer data protection and sourcing agreements for cloud services, outsourcing, software licenses, and other information technology matters. Work closely with the IT and the Legal teams to counsel on data privacy and security compliance issues related to Mergers and Acquisitions transactions and corresponding transition services agreements. Partner with the global IT, Information Security and Legal Affairs teams. Coordinate with the Sourcing organization and Sourcing counsels on strategic IT sourcing initiatives. Create and provide training on data protection playbooks, guidelines and self-service tools. Collaborate with others to deliver relevant internal audience on privacy regulatory compliance contract (e.g. EU SCC) related matters. Responsibilities of this position include that corporate policies, procedures and security standards are complied with while performing assigned duties.
Qualification and ExperienceThe candidate should have a J.D. degree (completed and verified prior to start) from an accredited law school. Must have 8+ years of law firm or in-house combined years of experience with software and IT-related sourcing, privacy, and information security, including strategically managing related risks. Experience in drafting, negotiating, and advising on agreements in a private, public, government or military environment is required. Should preferably have 5+ years of experience negotiating complex IT and commercial transactions, domestically and internationally. Experience with mergers, acquisitions, and divestitures is desired. Understanding of and experience in advising clients in a diversified business environment is an asset. Should ideally be admitted to practice in Minnesota or eligible for admission within six months of employment. Interest in privacy and data protection issues is a plus.
