Lead Counsel, Life Sciences Commercial GE Healthcare Experienced Posted 9/14/2018 9:57:05 AM 3172317 Job Function: Legal Business Segment: Healthcare Global Law & Policy Location(s): United States; Massachusetts; Marlborough Apply Now Role Summary: Provide commercial, compliance, and transactional advice, with “flex” activities into other areas (e.g. R&D and litigation support). Core activities: negotiating and drafting contracts with key strategic customers (e.g. – GPOs, wholesalers) and advising on FD&C Act, Anti-kickback laws, False Claims Act, Medicare/Medicaid issues, and associated regulations/guidances, as well as GEHC Policies. Essential Responsibilities: • Acting as a business partner by applying combined business and legal judgment to proposed deals, relationships, and other issues requiring legal or compliance attention.• Drafting, reviewing, and negotiating strategic business agreements and transactions such as (but not limited to) professional service agreements, purchase agreements, licensing agreements, customer sales contracts, and amendments.• Advising the business on regulatory, privacy, antitrust, and advertising/promotional matters.• Providing regulatory and compliance advice- in conjunction with the Regulatory and Compliance specialist, and the other members of the Core Imaging Legal Team, in GE Healthcare.• Supporting and monitoring dispute resolution and litigation where appropriate.• Ancillary support for government price reporting activities/issues.• Occasional support for certain R&D activities. Qualifications/Requirements: 1. JD (or equivalent) with active bar membership2. 5+ years of business law experience at a large law firm or corporate legal department, including, but not limited to, drafting, negotiating, and closing complex business transactions (i.e. purchase, sale and distribution agreements) and exposure to relevant healthcare laws and regulations.3. Previous experience drafting and negotiating complex business transactions, including licensing deals.4. Previous experience prioritizing conflicting demands from multiple business clients in an extremely fast-paced environment.5. Ability to communicate effectively and outstanding interpersonal skills.6. Willingness and ability to learn new areas of the law and to adapt within a highly matrixed and complex environment.7. Proven history of working well within a team. Desired Characteristics: 1. Experience with the healthcare industry and previous exposure to medical industry regulations and laws (such as FDA, Medicare/Medicaid, Anti-kickback Statute, False Claims Act, Sunshine Act, etc.).2. Demonstrated experience providing legal advice in a highly regulated environment.3. Ability to self-motivate and prioritize, with an emphasis on action.4. A service-orientation and strong problem-solver, with a track-record of sound judgment.
