Global Corporate Trust Attorney The candidate will provide excellent advice and guidance to clients and colleagues, on a variety of legal matters. Will build trusting relationships that allow the business to make well-informed decisions. Responsible for legal issues affecting Bank's Global Corporate Trust and Custody division when the Bank is acting in a trustee capacity. Review and negotiate municipal finance transaction documents and related deal documents on behalf of the Bank in its role as trustee. Counsel the business line on issues related to governing documents. Advise as to the trustee’s administration of municipal finance accounts. Interpret SEC, OCC, MSRB and other relevant laws and regulations. Provide advice on account level and bondholder issues. Advise management regarding litigation and risk.
Qualification and Experience
The candidate should have a Law degree and be licensed by and in good standing with the appropriate State Bar association or other appropriate state attorney licensing authority. Must have 7+years of experience involving financing transactions, preferably including experience representing corporate trustees. Background in the legal, regulatory, and industry issues applicable to complex financings involving financial institutions acting as a trustee or agent is required. Experience with municipal finance transactions, including experience representing indenture trustees and experience drafting, reviewing, and negotiating indentures and related bond documents is needed. Additional experience in corporate finance, structured finance, and related areas of law, plus an understanding of the legal and regulatory issues affecting fiduciaries and agents in the context of corporate trusteeships is desired. A background in representing financial institutions and fiduciaries is helpful.
