Corporate Counsel The candidate will support the business in government contract and subcontract formation, administration, and compliance issues. Will work with the Federal and State & Local business teams to review, draft and negotiate nondisclosure, teaming, and subcontractor agreements. Collaborate with finance, sales operations, deals desk, product operations, support, security and other business units at all levels throughout the organization to ensure that standard positions align with corporate objectives and operational policies and processes. Review and negotiate complex public sector enterprise sales contracts and counsel the business team to ensure that contracts meet the company's policies, legal positions, and risk tolerance. Demonstrate and maintain a strong understanding of applicable procurement regulations, especially the FAR, DFARS, and other applicable agency supplements. Provide support on Federal Supply Schedule (GSA Schedule) contracting issues. Support government contract compliance initiatives and develop policies and procedures for implementation of Federal, State and Local statutes and regulations, solicitation provisions, and contract clauses and requirements. Support dispute resolution with internal and external business and legal stakeholders as necessary. Stay current on relevant laws, regulations and trends in government contracting and provide analysis regarding potential impact on business goals and objectives. Serve as subject matter expert for responses to government contract/subcontract solicitations. Provide legal and process training to internal stakeholders regarding public sector matters. Support the continuous improvement of standard forms of agreement and legal processes pertaining to public sector.
Qualification and Experience
The candidate should have an undergraduate degree and law degree from highly-regarded school. Should have active membership in at least one US State Bar. Must have 5+ years of relevant experience at a major law firm and in-house, including negotiating technology and SaaS agreements related to government contracts involving software licensing, SaaS and professional services.
