Corporate Compliance Counsel
RESPONSIBILITIES: Responsible for the oversight and implementation for the operations of export control and DOD Controlled Unclassified Information (CUI), International Traffic in Arms Regulations (ITAR) and the Export Administration Regulations (EAR) policies, processes and procedures. Support the preparation, review, submission and management of complex export and ITAR licenses and contractual agreements in support of contracting, manufacturing and supply chain operations. Provide guidance and oversight of on-site operations to ensure the safeguard of export-controlled and CUI technology and associated technical content. Work with empowered officials to ensure that any required licenses are obtained and ensure full compliance with applicable laws and regulations. Review DOD and Federal associated contracts for ITAR, EAR, and CUI requirements and advise empowered officials and other managers on changes in processes, procedures and safeguards required to meet the obligations. These include contracts from commercial customers that have “flowed-down,” U.S. Government technology, and technical content safeguard regulations (DFAR & FAR regulatory requirements). Perform recordkeeping and reporting tasks required under ITAR, EAR, and CUI. This includes a tracking system on controlled items, technical data, and related decisions—from the initial pursuit of an opportunity to the shipping of controlled items or the provision of related services in accordance with Samuel policies and procedures. Create and distribute site-specific procedures to ensure that export-controlled technology or information is not posted or shared except in specific access-controlled directories for authorized personnel. Provide direction and oversight for the creation and delivery of export control, CUI, and basic information security training for employees and contractors providing in-facility services. Guide the development of an export-controlled and CUI quality assurance plan for each ITAR/EAR customer order. This plan is derived from ITAR, EAR, and CUI, and related Samuel policies and procedures. Ensure that frequent and early screening of all employees, non-employees—such as custodial staff and external IT service providers—and visitors and customers is implemented in accordance with policies and procedures. Ensure that the process is documented. Provide general compliance guidance and problem intervention to facilitate order processing and process improvements. Any other duties as deemed necessary by the Director of Compliance.
