Paralegal The candidate will prepare, process and maintain domestic and international statutory and regulatory filings and records (e.g., formations, articles of incorporation, bylaws, state qualifications filings, annual reports, etc.). Will prepare consents and resolutions, including annual meeting, stockholder, and board actions. Maintain the company's worldwide corporate records database (CSC) and organizational charts. Support corporate restructurings, including assisting with the formation, merger or dissolution of entities. Assist company's real estate team with maintenance of real-estate related documentation (LeaseHarbor). Assist with mergers and acquisitions and other major transaction closings. Assist with merger and acquisition due diligence, including maintaining virtual data rooms. Establish and maintain legal files pursuant to record retention policy. Coordinate execution of key agreements by the company's officers and directors. Interface with many internal groups (e.g., Finance, Tax, Treasury) and outside counsel to provide corporate information and general corporate assistance. Administrative duties may include assistance with filing, copying, scanning and file retrieval (as needed). Should have 5-7 years of experience at a corporate law firm or comparable in-house experience. Bachelor's degree or Paralegal Certificate is expected.
