Assistant General Counsel
The candidate will work closely with the General Counsel, other Legal Department personnel, the company’s senior leadership team, the Board of Directors and shareholders to provide legal advice and support on a wide range of securities and compliance matters. Coordinate, prepare and oversee filing of a broad array of regulatory disclosure documents. Support and advise Investor Relations and Finance & Accounting on disclosure matters. Lead the preparation for Board, Committee and Stockholder meetings, including drafting of materials and coordination of agendas. Develop, implement and maintain various compliance initiatives and corporate governance policies and practices (e.g., Sarbanes-Oxley requirements) in coordination with other stakeholders (Finance, Information Security, etc.). Manage relevant equity and compensation issues, including Section 16 issues. Manage and direct outside counsel on projects and issues relating to securities laws compliance, shareholder services and corporate governance. Proactively monitor and advise on appropriate course of action for changes in market activities, laws, rules, regulations, applicable listing standards, shareholder engagement, proxy advisory firm guidelines, and corporate governance practices. Provide legal advice and support with respect to domestic and international subsidiary structure and management. Support other projects as requested from time to time by the General Counsel.

Qualification and Experience

The candidate should have JD degree from an accredited law school and admission to a State Bar. Must have 6-10 years of relevant law firm experience. In house experience at a publicly traded company a plus. Broad and deep expertise in securities laws, corporate governance and board governance matters, including drafting and reviewing securities filings. International experience is required. Experience working with and advising senior business leaders is essential. Excellent interpersonal skills, collaborative, inclusive nature, and team-player attitude. Exemplary verbal, writing, and presentation skills is a must.
