Associate Counsel
The candidate will report directly to General Counsel. The scope of this role is broad, spanning primary and secondary transactions, tender offers, new product offerings, and business development / partnership support. Draft transaction documents, transfer notices, and term sheets and Review and negotiate broker, vendor, and strategic partner agreements, including NDAs and LOIs. Review and advise on shareholder option agreements and corporate charters to determine rights and obligations of private company securities. Assist with legal-related diligence for transactions and partnerships, including liaising with clients, issuers brokers, and relevant outside counsel. Liaise with product and engineering teams for legal review of new product offerings, including online and offline terms of service. Assist team members with responses to diligence requests from stakeholder. Support senior attorneys with various corporate housekeeping matters including drafting board consents, matters of corporate governance, and regulatory filings.

Qualification and Experience

The candidate should preferably have 3+ years of legal experience in a law firm with venture capital / startup law firm preferred. Prior securities experience is needed. California Bar admission is ideal. Should have a mix of securities and general corporate experience whether as an associate at a securities law firm or venture capital / startup law firm.
