Senior Counsel
Duties: Draft, review, analyze, structure and negotiate manufacturing, packaging, pharmaceutical development, purchase, supply, license and master service agreements. Advise business unit personnel with respect to compliance policies, customer and vendor relations, contract matters, regulatory issues. Assist in merger and acquisition activity. Assist in corporate governance activity. Provide general advice to management on a day-to-day basis. Provide advice and guidance for the accomplishment of the overall business objectives of the Company in compliance with applicable laws and regulations and avoidance of unacceptable risks. Provide informed cost benefit analysis when identifying risks. Develop a thorough understanding of and familiarity with the Company’s business, its people, products, technology, markets, facilities, customers and competitors in order to identify trends and formulate structures and strategies accordingly. Ensure that all Company activities are conducted in compliance with internal policies and procedures. Make presentations to and train Company personnel on legal issues as needed. Supervise paralegals on certain tasks.

Qualification and Experience

Qualifications: A record of outstanding academic achievement at the undergraduate and graduate levels. Admitted to practice in NJ. 3+ years of transactional/commercial law experience with a large law firm and in-house pharmaceutical experience. A business person’s lawyer with excellent judgment, particularly in determining the significance of legal matters and effectively measuring and minimizing risks. Strong organizational skills in order to prioritize and manage multiple time-sensitive projects simultaneously; willingness to assume heavy workload to meet timing and project needs. Excellent written and oral communication skills, with ability to synthesize complex legal issues to essential elements for clients throughout the organization with different abilities and responsibilities. Strong interpersonal skills, including diplomacy and flexibility, and the ability to interface effectively with personnel at many different levels throughout the Company. Ability to assume complex projects, create and present a plan of action, and independently manage projects to favorable resolution or conclusion. Ability to maintain high level of integrity of confidential and sensitive information and credibility within the organization. Ability to delegate and supervise, where appropriate. Computer proficient. Ability and comfort with decision-making responsibilities. Must demonstrate maturity and initiative. Team oriented and hands on work orientation. Attention to detail. Willingness to travel and to spend time at various Company locations to understand potential opportunities and provide guidance and training. Enthusiasm and “self-starter” qualities enabling the lawyer to manage responsibilities with an appropriate sense of urgency; the ability to function effectively and efficiently in a fast-paced and dynamic environment. Able to take direction and act accordingly with conviction and in a timely and high-quality manner.
