In-House Counsel Duties: Draft and negotiate agreements. Counsel on appropriate hr and technology policies, training and compliance Support the sales and business team in the development of client agreements Anticipate issues and identify solutions that will eliminate or mitigate risks Manage outside counsel and relationships with other external parties Draft and negotiate agreements to minimize risks and maximize results Source and manage appropriate business vendors (Insurance, HR, Security Audits, etc). Work with HR to ensure legal compliance with employment law. Work cross functionally to amend Operating Agreement and cap table.
Qualification and Experience
Qualifications: JD Degree from an ABA-accredited law school Membership in a State Bar (IL preferred). 5+ years of law firm/in-house experience - generalist preferred. Very strong experience in negotiating technology/software license agreements. General understanding of human resources, privacy/security, corporate structures, Financing and Securities, IP, and start-ups. Business-oriented approach to finding unique and cost-effective solutions to legal issues. Excellent negotiation and communication skills. Strong document drafting and organization skills. Experience and ability to thrive in fast-paced, high-growth and dynamic environments Sound ethical, business, and legal judgment.. A strong attention to detail and noticed that the bullet above has an inconsistency. A very high emotional intelligence and know when and how to address issues within a bigger context. Sharp judgment to understand how and when to fight and when to give on issues. Can think strategically, and act and lead tactically, often in ambiguous contexts. Collaborative nature.
