ProfileVice President/Head of Business Integrity and Risk The candidate manages two or more sub-families or has responsibilities across multiple sub-families in the Legal and Regulatory job family group. Responsible for leading the global compliance and risk management/insurance strategy throughout the CSL Group. Ensures the Board of Directors, management and employees are in compliance with the rules and regulations of regulatory agencies; company policies and procedures are being followed; and behavior in the organization meets the company’s Standards of Conduct. Develops, implements, and monitors a comprehensive global risk management strategy and process for all CSL businesses to enable them to conduct comprehensive risk assessments of their operations. Develops the global insurance coverage strategy, program design, and execution of the strategy for all corporate Property and Casualty insurances. Reports on key risks and related mitigation measures quarterly to the Board Audit and Risk Management Committee and annually to the full Board. Drives continuous improvement of the compliance and risk management processes. Directs compliance department employees on compliance related initiatives. Oversees establishment of appropriate policies and recommends modifications to company-wide policies and practices. Identifies gaps and initiates policy changes in coordination with business and legal executives. Ensures compliance policies are current and manages development and implementation of new policies. Manages the development and execution of business unit compliance training programs and works with business units and functions to ensure adequate visibility of compliance program initiatives. Approves development of content for compliance training programs. Responds to alleged violations of rules, regulations, policies, procedures, and Standards of Conduct by evaluating or recommending the initiation of investigative procedures. Develops and oversees a system for uniform handling of such violations. Acts as an independent review and evaluation body to ensure that compliance issues/concerns within the organization are being appropriately evaluated, investigated and resolved. Oversee management of quarterly risk management meetings for the CSL Group of companies. Responsible for reporting CSL Group company risks to Corporate Risk Management Committee. Stay current on development of and treatment action plans for top risks for the CSL Group companies. Identifies potential areas of compliance vulnerability and risk; develops/implements corrective action plans for resolution of problematic issues, and provides general guidance on how to avoid or deal with similar situations in the future. Oversee the risk and insurance initiatives that will benefit the Group and reduce the total cost of risk considering the costs involved in losses, the cost of risk management initiatives, and the cost of risk transfer to commercial insurers. Develop and maintain comprehensive model for determining impact to Group of various loss scenarios in order to optimize risk mitigation techniques (e.g., business continuity planning, disaster recovery planning, supply chain security). Develop and maintain direct relationships with key global insurance underwriters to ensure the broadest and most cost-effective insurance placements. Ensure key underwriters have clear understanding of CSL operations and risk transfer strategy, toward successful implementation of that strategy. Provide risk management and insurance support for global due diligence activity, e.g., in merger and acquisition activity. Reports To: This role reports into: Chief Legal and Risk Officer. Qualification and Experience
The candidate should have J.D. Should have 10 years’ experience in global risk management leading enterprise-wide risk management programs. Management or other substantive leadership experience with a compliance program in a health care environment. Pharmaceutical compliance experience preferred. International experience (in-house or with law firm) also preferred.
