Job Overview: A law firm in Los Angeles, CA is seeking a highly skilled Project Finance Associate Attorney with 3-5 years of significant transactional experience in debt project finance and/or tax equity. The ideal candidate will have expertise in negotiating, preparing, and reviewing complex credit and tax equity transaction documents, as well as conducting thorough due diligence on key project agreements. This role requires a strong background in both transactional law and project finance, with a focus on ensuring the successful execution of financing and investment deals.

Duties and Responsibilities:

  • Draft, review, and negotiate credit agreements, inter-creditor arrangements, collateral documents, and other ancillary credit documents.
  • Prepare, review, and negotiate tax equity transaction documents, including equity capital contribution agreements, membership interest purchase agreements, LLC Agreements, and leases.
  • Conduct comprehensive due diligence on key project agreements such as joint venture agreements, feedstock agreements, offtake agreements, EPC/EPCM contracts, O&M services agreements, transportation agreements, and commodity purchase and sale agreements.
  • Collaborate with clients, financial institutions, and other stakeholders to facilitate and close project finance transactions.
  • Advise on and resolve complex legal issues arising in connection with project finance transactions.
  • Monitor and stay updated on legal and regulatory developments impacting project finance and tax equity.

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the State Bar of California.
  • 3-5 years of significant experience in debt project finance and/or tax equity.
  • Demonstrated experience in negotiating and drafting credit and tax equity transaction documents.
  • Proven track record in reviewing and conducting due diligence on project agreements.

Education and Certifications:

  • Juris Doctor (JD) degree.
  • Licensed to practice law in California.
