Assistant General Counsel - Technology The candidate will contribute primarily in the technology space, helping the company network innovate and deploy new technologies while managing legal risks and complying with regulations. Will provide guidance to business leaders on the legal and other risks associated with development, operation, and implementation of technology systems and innovations and work collaboratively with business leaders to develop practical solutions to address those risks. Negotiate and draft commercial agreements, including licensing agreements, sourcing and procurement agreements, and partnership and joint venture agreements, as well as term of use. Provide guidance to business teams on identification, protection, transfer, and sharing of intellectual property (including drafting appropriate agreements). Advise development teams on the various matters, including licensing of new technology products and solutions. Advise internal technology teams on legal and regulatory compliance issues as part of technology deployment and operations; designing scalable processes to achieve compliance.
Qualification and Experience
The candidate should have a Bachelor’s degree and a J.D. from a top law school with active membership in at least one State Bar. Must have 10+ years of legal experience, with a strong background advising on technology and intellectual property matters. Proven track record of successfully advising product development teams and/or advising teams working on complex technology deployments is required. Should have deep experience drafting and negotiating transactional documents, merger agreements, purchase and sale agreements, commercial contracts, license agreements, employment agreements, master services agreements, transitional services agreements, non-disclosure and confidentiality agreements, novation and assignment agreements, escrow agreements, letters of intent, MOUs, and company formation and organizational documents. Should have experience working in an in-house environment, preferably with a technology provider or supporting technology teams at a large institution. Expertise in and ability to advise on privacy, cyber security, and confidentiality matters is desired. Experience working in a global or cross-border environment with individuals from different geographies and cultures is an asset. Experience translating legal concepts and requirements into actionable, practical guidance for IT and business teams is a plus.
