Corporate Paralegal/Department Administrator, Business & Legal Affairs
Duties: Perform as nucleus of the Legal Department. Help select, build and maintain the Company’s various corporate records and reporting systems worldwide to support the Legal and Tax Departments. Draft, analyze, review and occasionally negotiate, miscellaneous contracts/agreements/corporate documents. Manage the Company’s various Intellectual Property assets and coordinate with outside counsel as to the Company’s Intellectual Property dockets. Manage the Company’s Leases and coordinate (potentially) coordinate with outside real estate advisors. Support the Company’s Board of Directors meeting, including pre and post meeting coordination and other corporate governance matters. Be a partner with the other Legal Department members to build a world-class legal department. Provide administrative support to the Company’s Legal Department, predominately the Company’s General Counsel. Functionally owning and operating the various Legal Department systems and tools with sufficient domain expertise so as to be the Departments “go-to” person for initial issues/questions. Scheduling/calendaring/confirming various meetings and events. Expense reporting & tracking. Budget preparation, monthly reconciliation and variance analysis and reporting. Cross coordination and teaming with other department administrative functions. Periodic travel coordination. Research, plan, lead, support, project manage and report on various assigned projects and other duties as assigned. Be a partner with the other Legal Department members to build a world-class legal department.

Qualification and Experience

Qualifications: Certified Paralegal in California or another US State (or other Jurisdiction)/or equivalent experience. 4+ years’ experience in a combined corporate paralegal, legal operatoins or business affairs role, drafting and analyzing corporate documents and contracts – in-house experience a plus. Highly organized self-starter with the ability to materially operate independently. Experience in budgeting, expense reporting and variance analysis. Experience in interfacing with the Board of Directors and supporting Board of Directors meetings. Experience as a member of an internal cross-functional team. Established Notary Public or the ability to promptly obtain certification. Experience in supporting a distributed team. Experience with a Software-as-a-Service business a plus. Experience servicing an international businesses a plus. M&A experience preferred. Analytical, problem solving, business judgment and strategic thinking skills all with a strong attention to detail. Ability to work with various departments and levels of employees both as a team member and a potential project lead. Strong ability to independently manage heavy workloads to meet company deadlines. Excellent interpersonal, communication (both orally and written) and organizational skills. Ability to self-motivate and be pro-active and to prioritize a constantly evolving set of tasks. Project Management experience. Strong self-awareness. Ability to clearly and consistently communicate priorities and strategic direction. Outstanding commitment to customer service and quality.
