Corporate Paralegal The candidate will report To: General Counsel. Will be responsible for gathering, preparing and summarizing relevant materials for use by attorneys and other legal counsel. Lead strategic and tactical corporate legal initiatives, manage and maintain governance documents and filings, perform legal research, index and track documents, and support the company's client programs and services. Responsible for reviewing and drafting agreements, facilitating business transactions, and other duties as assigned. Perform this job successfully, an individual must be able to perform the following satisfactorily; other duties may be assigned. Assist with entity formation and maintenance; assist with preparation of draft minutes; assist with preparation and submission of required legal filings (such as annual reports). Assist with managing and maintaining the company's corporate records (such as shareholder/member records, option grants, option exercises, etc.); and assist with and maintain all corporate records. Assist with the creation and submission of advanced payment model applications (such as those required for participation in a Medicare Shared Saving Program Accountable Care Organization) that will be filed with the Centers for Medicare and Medicaid (including drafting, proof reading, research, data collection, and obtaining signature pages). Assist with ongoing program participation and maintenance activities; and assist with and maintain all client and program records. Assist with completion of contracts (by filling in basic information, proofreading, collecting information for schedules, routing for signature via DocuSign, etc.). Assist with basic contract review and drafting (subject to attorney review/approval); creating and maintaining charts, databases, and tables to track pertinent operation and legal information; and assist with and maintain all contracts. Provide administrative support for attorneys; assist with legal research (such as statutes, recorded judicial decisions, legal articles, treaties, etc.). Participate in the definition and development of corporate policies, procedures and programs and provide continuing counsel and guidance on all legal matters and assist with investigation; and completing special projects and other assignments as requested. Clearly expresses ideas and thoughts verbally and in written form. Interact with people at all levels of the corporate structure, plus a variety of external contacts (such as outside counsel, client contacts, etc.); exhibits good listening and comprehension; selects and uses appropriate communication method. Keeps others adequately informed. Always courteous and sensitive (including difficult or emotional customer situations). Proactively identifies and remediates issues; willing to take ownership; meets all internal and external commitments (and works additional hours as needed); responds promptly to internal and external customer needs; anticipates support needs on internal and external customer; follows instructions; and solicits and excepts feedback to improve service. Use of Technology: comfortable with using, or learning to use, or troubleshooting, various software packages and tools; and proven experience leveraging existing tools to increase productivity and increase operational efficiency.

Qualification and Experience

The candidate should have Bachelor's degree from 4-year college or university; 1-2 years of related experience and/or training; or equivalent combination of education and experience. Must be able to read, analyze and interpret business, professional, technical or governmental documents. Must be able to add, subtract, multiply and divide in all units of measure, using whole numbers, common fractions, and decimals. Must be proficient with Office 365 (Excel, Outlook, Word).
