Counsel The candidate operates as a part of a Scottsdale-based legal team comprised of other attorneys and para-professional and embedded within a business unit that encompasses pharmaceutical access and adherence services, mail-order specialty pharmacy services, third-party logistics services and highly innovative technology offerings, including data aggregations and analytics. Reporting to the Senior Counsel, possesses exceptional professional judgment and provides decisive day-to-day legal counseling and advice to all levels of the organization, including all of the following: Issue identification and escalation to business stakeholders and supervising attorneys, as appropriate; Drafting, reviewing, and negotiating contracts, from scratch or template, as appropriate; Providing guidance to business stakeholders on contract risks and benefits to ensure successful completion or resolution, with escalation to supervising attorney, business teams, business owner, and executive management, as necessary; Serving as responsive point of contact with attorneys representing customers, vendors, service providers and other company affiliates; Analyzing and identifying contract provisions or business processes that pose legal or business risk to company and working creatively with business stakeholders to find ways to mitigate or avoid those risks; Independently prioritizing and managing a constant portfolio of transactional work; Providing legal guidance as an escalation point for paralegal staff managing their own transactional assignments; Assessing transactions and issues and exercising appropriate judgment as to when to seek input from additional subject-matter experts in a large, highly matrixed environment; Working diplomatically and collaboratively to build consensus with colleagues and business leaders across multiple divisions, affiliate entities, and business units. This position requires a keen understanding of the ever-changing business, legal, and healthcare regulatory environment relevant to company’s commercial contracts with pharmaceutical manufacturers and pharmacies. Agreement types may include, without limitation, manufacturer supply and service agreements, 340B Contract Pharmacy Agreements, payor agreements, and other business partner/vendor agreements, consulting services agreements and software services agreements. Position will primarily be dedicated to supporting RxCrossroads by company. Responsibilities will also include the following: Identifying, analyzing, researching, and resolving legal and business process issues and making appropriate recommendations to business and keeping supervising attorney informed; Identifying and analyzing risks in business proposals or proposed legal agreements and escalating appropriately to business and legal leaders; Negotiating contracts directly with counsel for contract counterparty; Interacting directly with outside counsel or internal company counsel to coordinate, scope, and understand legal research projects; Developing an excellent rapport with the business teams and earning the trust of senior business leaders; Consulting on legal-risk, regulatory, and business provisions in contracts; Coordinating contract approval and enforcement of delegations of authority as needed; Monitoring compliance with internal company business and legal processes and policies; Preparing and delivering informative and engaging legal presentations for the senior attorneys and presenting to senior business unit leaders, as applicable; Preparing contract summaries and/or issues lists to present to supervising attorney or business unit partners for review, if applicable. Demonstrating comprehensive understanding of company business units (BUs), products, strategy, and operational model; Following stated contracting policies, procedures and processes; Coordinating with colleagues to identify regulatory issues, assess business impact risk and communicate same to business partners; Working with minimal supervision, a high degree of initiative and excellent independent judgment in escalating issues within broadly defined practices and policies.

Qualification and Experience

The candidate should have Admission to applicable state Bar, registration as in-house counsel, or ability to gain admission or registration for either in applicable state within 90 days. J.D. from ABA accredited law school required. Should have 8+ years of legal-practice experience with a substantial portion of that time spent practicing some aspect of healthcare law in a corporate legal department or law firm. Prior in-house counsel experience strongly preferred. Must have extensive legal experience with high-volume, sales-driven, complex commercial contracting – much of it in a healthcare context. Should have extensive experience providing business-focused legal counsel to a corporate client in the healthcare sector, as in-house counsel or in a healthcare-focused practice group of a law firm. Must have experience working for or closely with one or more of the following: pharmaceutical manufacturers, health plans, pharmacy benefits managers, hospitals, physicians or pharmacies. Should be highly Proficient in Microsoft Office applications (Outlook, Word, Excel, PowerPoint, OneNote) OneDrive, SharePoint and general Intranet and Internet research skills. Must have exceptional written and oral communication skills with emphasis on knowing the audience. Should have ability to work effectively with clients and promote the reputation and integrity of company and the company Law Department. Must have experience working with key healthcare statutes and regulations, including Federal and state Anti-Kickback Laws, HIPAA, 42 C.F.R. Part 2, state privacy laws, medical practice acts, nursing practice acts, pharmacy regulation and licensure. Strong knowledge of the structure, implementation and operation of corporate compliance programs in the healthcare setting is required.
