Paralegal The candidate will provide legal assistance to corporate attorneys. Act as liaison between company attorneys, outside counsel, organizations and in-house employees. Conduct Legal research. Proofs and edits drafts of contracts. Prepares and files legal documents as required. Lead projects as directed by corporate attorneys. Support company's legal compliance activities. Manage corporate governance activities. Assist with the review and preparation of patent material and applications. Accountable for records managements including tracking and storing documents maintained by the legal department (contracts, litigation materials, documentation) Assures compliance with retention schedules. Manage the activities of the global corporate subsidiaries. Maintain the entity compliance management web-based solution and corporate organizational chart, Prepare resolution / minutes or other corporate documents. Prepare and file company annual reports and other filings required to do business. Coordinates with tax department as necessary. Support in-house compliance training activities. Liaison between company attorneys, outside counsel and employees. Communicates findings through meetings, presentations and/or detailed reports. Support business objectives such as mergers, acquisitions , intellectual property holdings, and other business initiatives. Proofs and edits routine contracts Prepares schedules or exhibits to larger agreements. Manages change requests and coordinates the appropriate review with stakeholders. In coordination with outside counsel, maintains the company’s database of patents and applications and trademarks. Manage all legal expenses and monthly reconciliation of actual expenditures to finance budgets. Participate in AOP (annual operating plan) process. Provides support for litigation (including Intellectual Property), which may include discovery process, collection, review and management of documents and answers to interrogatories, pre-trial exhibits, and arrangements for depositions, as needed. Serves as project manager for various initiatives (policy, modifications, new training requirements, etc) may set meetings, keep minutes or track deliverables as required.

Qualification and Experience

The candidate must have Bachelor's Degree or equivalent experience. Should have 5 years of Paralegal experience, preferably with regulated industry experience. Paralegal training or certification is preferred. Paralegal experience required, preferably with regulated industry experience is needed.
