Contracts Attorney The candidate will be the second attorney to join the company and will spend substantial time collaborating with the sales team to prepare and negotiate customer agreements on a global basis. Will also support other legal aspects of our business including, negotiating NDAs, channel partner, marketing and technology purchase agreements. The ability to effectively partner with internal customers and the willingness to understand and explain to others telecommunications and data privacy statutes and regulations will be a key element of success. Focus will be drafting, reviewing, editing, negotiating and finalizing software-as-a-service license agreements by collaborating closely with Sales team. Drafting, reviewing, editing and negotiating NDAs, channel partner, procurement, marketing, SOWs and other types of agreements and legal documents to support the business. Assist in developing/improving contracts-related processes and procedures to scale with company’s growth, such as developing standard forms, contracts database, etc. Liaise with finance, sales operations, and other business units for input on contractual terms and conditions. Develop subject matter expertise in TCPA and GDPR regulations and compliance.
Qualification and Experience
The candidate must have Active membership in good standing in the California State Bar. Should preferably have 2+ years of hands-on experience in drafting software licensing/SaaS customer agreements with Fortune 1000 companies. Experience negotiating a broad range of legal issues that arise in the context of commercial transactions (e.g. indemnification, limitation of liability, confidentiality) is desired. An excellent negotiator who is experienced at leading web-based teleconference negotiations with customers is desired. Proven track record in teaming, collaborating with and building trust with organizations that require legal support is desired. Strong computer skills with common applications, such as the MS suite, Adobe and DocuSign is desired.
