Attorney - Investment Management
The candidate will be primarily responsible for providing legal guidance to the Retirement business within Bank’s Global Wealth and Investment Management business. Will be responsible for providing legal advice and guidance to the Retirement business on a broad range of ERISA Title I and Internal Revenue Code issues. Day to day responsibilities for this position include: Providing legal advice and guidance on a broad array of legal matters related to the Company’s institutional retirement business. Providing legal advice on ERISA and Internal Revenue Code issues affecting all types of benefit plans and individual retirement accounts. Providing legal advice on securities law issues applicable to equity plans and 10b5-1 plans. Negotiating ERISA provisions in investment management agreements, trust agreements and consulting services agreements. Reviewing and negotiating plan recordkeeping and administration agreements. Collaborating with business, other areas of the law department, and outside counsel to deliver proactive, strategic and timely legal solutions and support. Navigating regulatory change by providing proactive and timely analysis of proposed and existing laws, regulations and industry litigation to the business. Coordinating and maintaining strong relationships with the Compliance and Risk Management Departments. Working with outside counsel on select projects.

Qualification and Experience

The candidate will possess 7+ years legal experience working on a broad range of ERISA investment issues in both the institutional and retail contexts, including, plan investments, fiduciary governance, prohibited transactions and disclosure. Should also have strong knowledge of Internal Revenue Code requirements for qualified and non-qualified employee benefit plans and individual retirement accounts and securities laws issues with respect to equity plans. The position emphasizes delivering practical legal advice to business, compliance and risk partners and requires strong written and oral communication skills and the ability to work collegially in a fast-paced transaction environment are essential.
